Abstract:

The warranty and indemnity insurance is increasingly present in Spanish transactional practice, as a tool that allows transferring to the insurer the risk of a breach of the representations and warranties provided by the seller under a sale and purchase agreement. This paper analyses this figure, focusing on its characterisation and usual content.
